Terms and conditions of use
Courtesy translation. These Terms are governed by Mexican law and drafted in Spanish. In the event of any discrepancy, the Spanish version at jointelos.pro/terminos-y-condiciones.html shall prevail.
These Terms and conditions (the “Terms”) govern access to and use of the website jointelos.pro (the “Site”), operated by [Legal name], doing business under the trademark TELOS (“TELOS”), with address at [Street, number, neighborhood, ZIP code, city and state], Mexico. Please read them carefully before using the Site.
1Acceptance
Accessing the Site, browsing it and submitting information through it imply the express, full and unreserved acceptance of these Terms and of the Privacy notice, in the version in force at the time of access. If you do not agree with them, you must refrain from using the Site. By using it, you represent that you are of legal age and have the legal capacity to be bound.
2Definitions
- User
- Any person who accesses the Site, browses it or submits information through it.
- Content
- The texts, trademarks, logos, designs, images, videos, animations, code, structure, selection and arrangement of elements, and any other material forming part of the Site.
- Proposal
- The information the User sends to TELOS through the “Tell us what you’ve built” form or by email, so that TELOS may evaluate a possible collaboration.
- Creator
- The individual or legal entity that owns an audience, community, content or knowledge in respect of which a Proposal is submitted.
3Purpose of the Site
The Site has an informational purpose: it presents TELOS, its way of working and its criteria, and makes a form available to receive Proposals. The Site does not constitute an offer of goods or services, nor a promise of engagement, investment, financing or collaboration. Any relationship between TELOS and a Creator will be formalized exclusively through a separate written agreement, whose terms will prevail over these Terms in everything concerning that relationship.
The information published on the Site does not constitute legal, tax, financial, investment or any other kind of advice, and must not be understood as a promise or guarantee of economic results, audience growth or income of any nature.
4Permitted use of the Site
TELOS grants you a limited, personal, non-exclusive, non-transferable and revocable license to access the Site and view its Content for lawful purposes. The following is prohibited, by way of example and without limitation:
- Using the Site in a manner contrary to the law, morality, public order or these Terms.
- Reproducing, copying, distributing, modifying, publicly communicating, transforming or exploiting the Content without TELOS’s prior written authorization.
- Using automated data extraction techniques (scraping, crawling), robots or similar tools on the Site, except for search engines that respect the
robots.txtfile. - Attempting to breach, circumvent or test the security of the Site, its infrastructure or the networks connected to it, or introducing malicious code.
- Impersonating another person, providing false information or submitting Proposals on behalf of third parties without authority to do so.
- Using the TELOS trademark, its logo or any distinctive sign in a manner that misleads as to the existence of a relationship with TELOS.
TELOS may suspend or restrict access to the Site, at any time and without liability, for anyone who breaches these Terms.
5Proposals
- Non-binding nature. Submitting a Proposal does not oblige TELOS to respond to it, evaluate it within a given period or accept it. TELOS works with a limited number of Creators and may decline any Proposal without stating a reason.
- No legal relationship. Submitting a Proposal does not, by itself, create any partnership, association, joint venture, mandate, agency, employment, franchise or exclusivity relationship between the User and TELOS. Nor does it create any confidentiality obligation other than that provided in paragraph 5.4.
- Accuracy and authority. The User warrants that the information in the Proposal is true, current and complete; that they own the audience, project or knowledge to which it refers, or have sufficient authorization to submit it; and that its submission does not infringe third-party rights or confidentiality, non-compete or exclusivity obligations assumed towards other persons.
- Reasonable confidentiality. TELOS will treat Proposals with the reasonable confidentiality it applies to its own information of a similar nature, and will not disclose them to unrelated third parties without authorization, except to its co-founders, collaborators and advisors bound by a duty of confidentiality, or when required by a competent authority. This obligation does not apply to information that is or becomes public, that TELOS already knew, or that it lawfully receives from a third party.
- Similar ideas. The User acknowledges that TELOS evaluates multiple opportunities and may be independently developing ideas, products or businesses similar to those described in their Proposal. Submitting a Proposal does not grant the User exclusivity, priority or any right over TELOS’s projects, products or businesses, nor does it confer intellectual property rights over developments that TELOS carries out without using the confidential information in the Proposal.
- Evaluation license. The User retains all rights over the information they submit and grants TELOS a free, non-exclusive and limited license to store it, reproduce it internally and analyze it for the sole purpose of evaluating the Proposal and communicating with the User.
- Unsolicited information. Please do not include in the Proposal information you consider a trade secret, sensitive personal data or confidential information of third parties. TELOS will not be liable for the inclusion of information that the User should not have shared.
6User representations
By using the Site and, in particular, by submitting a Proposal, the User represents under oath that: (i) they are of legal age and have legal capacity; (ii) they act on their own behalf or with sufficient authority to represent the Creator or the legal entity they indicate; (iii) the information they provide is true; (iv) they will not use the Site for unlawful purposes; and (v) they have read and accept these Terms and the Privacy notice.
7Intellectual property
The TELOS trademark, the eclipse-ring logo, the tagline “Turn attention into opportunity”, the jointelos.pro domain names and, in general, all the Content of the Site are the property of TELOS or its licensors and are protected by Mexico’s Federal Law for the Protection of Industrial Property, the Federal Copyright Law and applicable international treaties. Nothing in these Terms or in the use of the Site confers on the User any right over such intellectual property, other than the limited viewing license provided in clause 4.
Third-party trademarks, names and logos that may be mentioned on the Site belong to their respective owners and are cited solely for identification purposes.
If you believe that any Content on the Site infringes intellectual property rights you own, write to hello@jointelos.pro indicating the content, the right affected and the documents evidencing your ownership.
8Third-party links and resources
The Site may contain links to third-party sites and uses technical resources hosted by third parties (Google Fonts typefaces and libraries distributed by jsDelivr). TELOS does not control such sites or resources, is not responsible for their content, availability, privacy practices or any damage their use may cause, and their inclusion does not imply endorsement or association of any kind. The use of third-party sites is governed by their own terms.
9Disclaimer of warranties
The Site and its Content are provided “as is” and “as available”. To the fullest extent permitted by law, TELOS does not warrant that the Site will be free of errors or interruptions, that it will be compatible with every device or browser, that its servers will be free of viruses or other harmful components, or that the information published will be accurate, complete or current at all times. TELOS may modify, suspend or discontinue the Site, in whole or in part, at any time and without prior notice.
10Limitation of liability
To the fullest extent permitted by applicable law, TELOS, its co-founders, collaborators and providers will not be liable for indirect, incidental, special, consequential or punitive damages, loss of profits, loss of data, audience, revenue or business opportunities, arising from the use of or inability to use the Site, from submitting a Proposal or from reliance on the Content, even if advised of the possibility of such damages. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, or the non-waivable rights that, where applicable, the Federal Consumer Protection Law confers on you.
11Indemnification
The User agrees to hold TELOS, its co-founders, collaborators and providers harmless from any claim, demand, proceeding, damage, loss or expense (including reasonable attorneys’ fees) arising from a breach of these Terms, misuse of the Site, the falsity of their representations or the infringement of third-party rights through the information they provide.
12Personal data
The processing of personal data that the User provides through the Site is governed by our Privacy notice, which forms an integral part of these Terms and which the User represents having read.
13Electronic communications
The User agrees that communications with TELOS relating to the Site and to their Proposal will take place by electronic means, mainly email, and acknowledges that such communications will be fully valid and effective. Notices to TELOS must be sent to hello@jointelos.pro; notices to the User will be sent to the email address they have provided.
14Modifications
TELOS may modify these Terms at any time. The version in force, with its last-updated date, will always be available at jointelos.pro/terminos-y-condiciones.html (Spanish, binding version) and at jointelos.pro/en/terms-and-conditions.html. Use of the Site after a modification is published implies its acceptance. Proposals will be governed by the Terms in force on the date they are submitted.
15General provisions
- Entire agreement. These Terms and the Privacy notice constitute the entire agreement between the User and TELOS regarding the use of the Site, and supersede any prior agreement or communication on the same subject.
- Severability. If any provision is declared null, invalid or unenforceable, the remaining provisions will remain in full force, and the affected provision will be interpreted in the manner that best reflects its original intent within the limits of the law.
- No waiver. TELOS’s failure or delay in exercising any right under these Terms does not constitute a waiver of that right.
- Assignment. The User may not assign their rights or obligations under these Terms without TELOS’s prior written consent. TELOS may assign them to any company in its group or to a successor of its business.
- Force majeure. TELOS will not be liable for failures arising from causes beyond its reasonable control, including failures of infrastructure providers, cyberattacks, acts of authority or natural disasters.
- Language. These Terms are drafted in Spanish. Any translation is provided for convenience only; in the event of any discrepancy, the Spanish version will prevail.
- Headings. Clause headings are for reference only and do not affect their interpretation.
16Governing law and jurisdiction
These Terms are governed by and interpreted in accordance with the federal laws of the United Mexican States, in particular the Commercial Code and, supplementarily, the Federal Civil Code. For the interpretation, performance and enforcement of these Terms, the User and TELOS expressly submit to the jurisdiction of the competent courts of Mexico City, waiving any other jurisdiction to which they may be entitled by reason of their present or future domicile or for any other cause. The foregoing is without prejudice to the rights that, where applicable, the User may have as a consumer before the Federal Consumer Protection Agency (PROFECO).
